Terms of Service
Last updated: [Month DD, 2026]
These Terms of Service (“Terms”) govern your use of brandus.agency (the “Site”) and any services provided by [BrandUs legal entity name] (“BrandUs”, “we”, “us” or “our”). By using the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site.
1. Who we are
BrandUs is a digital growth agency offering website design and development, ecommerce, landing pages, conversion rate optimization, SEO, AI search optimization, local SEO, paid media and video editing services to businesses worldwide. Registered office: [registered address]. Contact: brandus@brandus.agency.
2. Business use only
Our Site and services are intended for businesses and professionals. By engaging us, you confirm you are at least 18 years old and authorized to act for the business you represent.
3. Free audits and reports
Free audits, teardowns and reports are delivered within 24–48 business hours after we receive the information we need. They are provided for general guidance only, based on information available at the time. They are not a guarantee of results, and you decide whether and how to act on them. Requesting an audit does not create any obligation to buy.
4. Project agreements
Paid work is defined in a written proposal, statement of work or order (a “Project Agreement”) that sets out scope, deliverables, timelines, fees and payment terms. If a Project Agreement conflicts with these Terms, the Project Agreement prevails for that project.
5. Your responsibilities
- Provide accurate information, timely feedback, approvals and access (for example, to hosting, ad accounts, analytics and content).
- Make sure you have the rights to any content, footage, trademarks or data you give us, and that your use of our deliverables complies with the laws and platform policies that apply to your business.
- Keep your own account credentials secure. Where possible, grant us access through user roles rather than sharing passwords.
Delays in feedback, content or access may move timelines.
6. Fees and payment
Fees, invoicing schedule, currency and payment method are set in each Project Agreement. Unless stated otherwise, invoices are due within [14] days. Ad spend, software licenses, stock media, hosting and other third-party costs are paid by you, directly or as agreed. Prices exclude applicable taxes such as VAT, GST or sales tax.
7. Revisions and changes
Each Project Agreement states the number of revision rounds included. Work outside the agreed scope is quoted separately and starts only after your approval.
8. Intellectual property
Once all fees for a project are paid in full, you own the final deliverables created specifically for you. We keep ownership of our pre-existing tools, frameworks, templates, code libraries, know-how and methods, and grant you a non-exclusive, perpetual license to use them as part of the deliverables. Third-party materials (such as fonts, plugins, stock media and music) remain subject to their own licenses. Unless you tell us otherwise in writing, we may show non-confidential work and results in our portfolio and case studies.
9. Confidentiality
Each party will keep the other’s non-public business information confidential and use it only to perform the project. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law.
10. Data protection
When we process personal data on your behalf (for example, in your analytics, ad accounts, CRM or website forms), we act as your processor and will handle it according to your documented instructions and applicable law, including the GDPR and UK GDPR. A Data Processing Agreement is available on request. Our own use of personal data is described in our Privacy Policy.
11. Results and third-party platforms
Search rankings, AI answers, ad performance and conversion rates depend on factors outside our control, including platform algorithms, competition, budgets and your market. We commit to doing the work with skill and care, but we do not guarantee specific rankings, traffic, leads, revenue or other results. We are not responsible for changes, outages, suspensions or policy decisions by third-party platforms such as Google, Meta, LinkedIn, Microsoft, TikTok, YouTube, Shopify or WordPress.
12. Acceptable use of the Site
You agree not to misuse the Site, including by attempting unauthorized access, introducing malware, scraping at a volume that harms performance, or submitting false or unlawful content through our forms.
13. Disclaimers
The Site and its content are provided “as is” for general information. To the fullest extent permitted by law, we exclude all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
14. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, data or goodwill. Our total liability arising from any project is limited to the fees you paid us for that project in the [12] months before the claim. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.
15. Indemnity
You agree to indemnify us against third-party claims arising from content or materials you provide, or from your use of the deliverables in breach of law or these Terms.
16. Termination
Either party may end a project as set out in its Project Agreement. Unless that agreement says otherwise, either party may terminate with [14] days’ written notice. You pay for work completed and costs committed up to the termination date. Sections on intellectual property (once paid), confidentiality, limitation of liability and governing law survive termination.
17. Third-party links
The Site may link to third-party websites. We are not responsible for their content or practices.
18. Governing law and disputes
These Terms are governed by the laws of [governing law, e.g. India], and the courts of [city] have exclusive jurisdiction, unless mandatory consumer or local law where you are based says otherwise. Before starting any formal proceedings, both parties will try in good faith to resolve the dispute by negotiation for at least 30 days.
19. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date shows the latest version. Changes do not affect Project Agreements already signed, unless both parties agree.
